CONVENIENCE REBILL


 1.        SERVICE DESCRIPTION:  Convenience Rebill Service permits WCS to act as a handling agent for charges to Customer via third party service providers (“TPSP”) in areas or products where WCS does not currently provide Service or via TPSP’s that WCS cannot directly wholesale to Customer.  WCS will serve as a handling agent under one of the two following service offerings:

a.        Convenience Rebill - Unmanaged:  WCS acts as the handling agent for billing only and will pass through the TPSP charges to the Customer via the WCS ABACUS unified billing platform along with all other Customer WCS Service charges.  

b.       
Convenience Rebill - Fully Managed: WCS acts as the handling agent for billing and inventory management. Inventory management is defined as issues relating to:

                                                              i.      Trouble ticket creation with TPSP

                                                              ii.      Trouble ticket liaison with TPSP

 

2.        PRICING:  Below are the rates for all applicable charges under this Service offering.

 The amount of TPSP charges rebilled under this Schedule to Customer by WCS may not exceed fifteen percent (15%) of the total amount of Services currently being provided to Customer directly by WCS.  Customer is responsible for all payment of TPSP invoices received until Customer receives consolidated WCS bill/invoice which includes all TPSP charges.

WCS will invoice a Non-Product Pass Through charge each month equivalent to the taxes to be paid by WCS to the vendor being rebilled.   

 

For Services provided under this Schedule, WCS waives any responsibilities associated with the direct provisioning of Service including, but not limited to, the setting of rates or other service-related functions set forth by the TPSP.  WCS is not responsible for the charges or disputes related to such charges, including but not limited to disconnection charges, and applicable term plan penalties. 

 

3.        ADDITIONAL TERMS & CONDITIONS:

 

A.        Execution of Necessary Documents:  Customer agrees to execute any Letters of Agency and any other documents required by third parties or WCS in order to further the ability of WCS to provide the Service to Customer. Customer must provide a complete list of all ANIs/WTNs/BTNs for which Customer elects WCS to Convenience Rebill under this Schedule.  Customer must provide a copy of their most recent invoice(s) received from each TPSP (invoice provided must be less than sixty (60) days old).  

 

B.        WCS Service Transfer: In the event WCS obtains the ability and authority to operate within the TPSP service territory or purchase the services wholesale, Customer authorizes WCS to coordinate and transfer any eligible services under this Schedule to WCS. Customer acknowledges and accepts that WCS may assess a one-time installation charge for any of the Customer’s services transferred to WCS

 

C.        Service Start Date: The Service Term begins when (1) the TPSP has successfully changed the billing address of the invoice containing the service to be Convenience Rebilled and (2) reflect charges commencing on the start date of the current full month billing period. The Term shall renew automatically month-to-month until the service is terminated in accordance with the Cancellation section herein or when WCS successfully changes the billing address to Customer’s original billing address.  Customer will be responsible for all applicable Charges for the duration of the Service Term and for all directly billed charges that accrue until WCS is successfully replaced with Customer’s billing address for Courtesy Rebill purposes.

 

The first month in which Services are rendered may be prorated to factor in any partial month that may occur as the result of the date that fees are initiated. Customer will be billed in accordance with WCS method of billing (in advance) for activation, usage, NRCs, MRCs, and any other charges, taxes, or fees that appear on the TPSP invoice including outstanding unpaid balances.

 

D.        Special Termination Conditions:  Either party may terminate the Services upon written notice to the other party of its election to terminate at least sixty (60) calendar days prior to the expiration of the initial or re-termed Service Term.  Customer understands and acknowledges that it may take up to two (2) bill cycles to process and effect a valid cancellation request. Customer is responsible upon cancellation of Service with WCS to reinstate Customer as the Customer on record at the TPSP. Charges may continue to accrue for Service(s) for a period of time following cancellation. Customer shall owe payment for all billed and unbilled amounts, including Charges that accrue following the date of cancellation.
